By accessing or using ValleyCast AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and ValleyCast AI, Inc. ("Company," "we," "us," or "our"), a Delaware corporation headquartered in San Francisco, California. These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update or modify these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.

ValleyCast AI provides an AI-powered podcast generation platform that allows users to create, edit, and publish audio content using artificial intelligence technologies. The Service includes, but is not limited to: - AI script generation and editing tools - AI voice synthesis and audio production - Episode management and storage - Publishing integrations with third-party podcast platforms - Analytics and performance tracking The Service is provided on a subscription basis, with both free and paid tiers available. Features and limitations vary by subscription plan.

To access certain features of the Service, you must create an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain and promptly update your account information - Keep your account credentials confidential and not share them with third parties - Notify us immediately of any unauthorized use of your account - Accept responsibility for all activities that occur under your account You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement. We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.

Content You Create: You retain ownership of all content you generate using the Service, including AI-generated podcast episodes created based on your inputs ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely for the purpose of providing the Service. Company Intellectual Property: The Service, including its design, features, code, and underlying AI models, is owned by ValleyCast AI, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.

You agree not to use the Service to: - Generate content that is defamatory, obscene, fraudulent, or otherwise unlawful - Impersonate any real person, entity, or public figure without consent - Create content designed to harass, threaten, or harm any individual or group - Violate any applicable laws or regulations, including copyright and privacy laws - Attempt to gain unauthorized access to the Service or its infrastructure - Use the Service to transmit spam, malware, or other malicious content - Scrape, crawl, or otherwise extract data from the Service without our permission - Circumvent any security features or usage limits of the Service We reserve the right to investigate and take appropriate action against violations of this policy, including terminating accounts and reporting illegal activity to law enforcement.

Free Tier: The free tier provides limited access to the Service as described on our pricing page. We reserve the right to modify free tier features at any time. Paid Subscriptions: Paid subscriptions are billed on a monthly or annual basis as selected at signup. Payment is processed through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis. Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of the period for which you have paid. Refunds: We offer refunds within 7 days of the initial subscription purchase if you are dissatisfied with the Service. Refunds for subsequent billing cycles are considered on a case-by-case basis. Contact support@valleycast.ai to request a refund. Price Changes: We reserve the right to change subscription prices. We will notify you at least 30 days in advance of any price changes. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security. You acknowledge that: - Audio content and scripts you generate are processed on our servers - We may use anonymized, aggregated data to improve the Service - You are responsible for ensuring you have all necessary rights to any content you provide as input For details on how we collect, use, and protect your information, please review our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: - The Service will be uninterrupted, error-free, or secure - AI-generated content will be accurate, complete, or suitable for any particular purpose - The Service will meet your specific requirements You use the Service at your own risk. AI-generated audio content should be reviewed before publication, and you are solely responsible for the content you publish.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALLEYCAST AI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR REPUTATIONAL HARM, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
